The law of the sale of documents and of overreaching in them; it contains forty-two se'ifim. Letters are acquired only by writing and delivery. Hagah [Rema]: However, he can hold on to the paper until he returns him his money (Rabbeinu Yerucham, netiv 14). And likewise, if the seller has nothing with which to pay the buyer, they take from the borrower and give to the buyer, as below, siman 86, even though he did not acquire the document (Beit Yosef in the name of the Rashba). And likewise, if the seller accepted upon himself liability, if the buyer does not collect the documents, the seller must fulfil what he accepted upon himself, even though the buyer did not acquire the documents (a responsum of the Rashba). And where the buyer did not acquire the document, and he says that the seller shall still write and deliver it to him, and the seller retracts from the sale — some say that he is not obliged to accept a mi shepara (the curse pronounced upon one who retracts from a sale), and he can retract even though he received the money (Beit Yosef in the name of the Terumot). Therefore, one who sells a document to his fellow must write for him: acquire it, it and every lien that is in it. And if he did not write so, he did not acquire the loan that is in it, and he did not acquire even the paper to stop up the mouth of his flask; rather it is a mistaken purchase, and he returns the paper and he returns him the money. Hagah [Rema]: Some say that a document in which is written: I bind myself to you and to whoever produces it — is acquired by chalifin (acquisition by the exchange of an article) or by delivery without writing (Terumat haDeshen, siman 351); but if this is not written in it, only that it was written in the name of the buyer from the outset, it requires writing and delivery. And specifically where the document was the seller's, only that it was written in the buyer's name; but if he said from the outset to the witnesses: write a document for the buyer and give it to him, so that the essence of the writing was for the buyer, it does not require writing and delivery; and see shortly, se'ifim 4 and 5 (Beit Yosef in the name of the Rashba and the Terumah and the Rif).

אפילו אם מסרו לידו וקנו מידו בקנין שמוכר לו כל השעבוד שבו וכתבו לו עדים הקנין זה הכתב אינו אלא לראיה בעלמא ואינו כלום אלא צריך שיאמר לעדים שיכתבו שטר מכר ושיקנה באותה כתיבה שטר זה וכל שעבודו וצריך שיכתוב ואם לא נכתב לא קנה ויש מי שאומר שצריך שתבא לידו אותה כתיבה:

Even if he delivered it into his hand and they made a kinyan (a formal act of acquisition) with him that he sells him the whole lien that is in it, and witnesses wrote the kinyan for him — this writing is mere evidence and is nothing; rather he must say to the witnesses that they write a document of sale, and that by that writing he conveys this document and all its lien; and it must be written, and if it was not written he has not acquired. And there is one who says that that writing must come into his hand.

הנותן נכסיו לאחר במתנת בריא מטלטלי אגב מקרקעי בקנין והיו לו שטרות אע"ג דשטרי בכלל נכסי אינון לא קנאם כיון שלא כתב לו קני לך איהו וכל שעבודא דאית ביה:

One who gives his property to another by the gift of a healthy person — movables by agav (acquired along with land) of land, by a kinyan — and he had documents: although documents are included in property, he did not acquire them, since he did not write for him: acquire it, it and every lien that is in it.
