Se’if 1א׳
השיתוף כיצד מתקיים וכיצד נוהגין וכיצד נפרדין ואם מת אחד מהם. ובו נא סעיפים: השותפים שבאו להשתתף אין השיתוף נגמר בדיבור לומר שאם אמר בואו ונשתתף יחד בכך וכך שלא יוכלו לחזור בהם ואינו מתקיים אלא בקנין וכיון שצריך קנין כל דבר ודבר לפי קניינו מתקיים שיתופו לפיכך המטבע שאינו נקנה בחליפין אין השיתוף מתקיים בו בקנין שאפי' קנו מיד שניהם שיביא כל א' מעותיו וישתתף בהם וכתבו שטר על זה והעידו עדים אינו מועיל אלא צריך שיביא כל אחד מעותיו ויטילו מעות שניהם בכיס אחד ויגביהו שניהם הכיס ויש מי שאומר שהוא הדין אם משך כל אחד מעותיו של חבירו מהני ואפי' לא עשו לא זה ולא זה אלא נשתתפו והתחילו לישא וליתן בעסק השיתוף ליקנות או למכור יש מי שאומר דמהני: [הגה] מי שהלוה לחבירו מעות ואח"כ אמר ליה יהיו בידיך למחצית שכר ונאנסו בידו חייב בכל האונסין כמו בתחלה דלא נסתלק משמירתן בדיבור בעלמא (מרדכי פ' החובל):
Partnership: how it is established, how they conduct themselves, how they separate, and if one of them died; it contains fifty-one se'ifim. Partners who came to enter into partnership — the partnership is not completed by speech, so as to say that if he said: come, let us be partners together in such-and-such, they cannot retract; and it is established only by a kinyan (a formal act of acquisition). And since a kinyan is needed, each and every thing establishes its partnership according to its own kinyan. Therefore coin, which is not acquired by chalifin (acquisition by the exchange of an article) — the partnership is not established in it by a kinyan; for even if they made a kinyan from both of them that each would bring his money and be a partner in it, and they wrote a document about it, and witnesses testified, it does not avail; rather, each one must bring his money, and they put the money of both of them into one pouch, and both of them lift the pouch. And there is one who says that the same holds if each one drew his fellow's money: it avails. And even if they did neither this nor that, but became partners and began to do business in the partnership's venture, to buy or to sell — there is one who says that it avails. Hagah [Rema]: One who lent his fellow money, and afterwards said to him: let it be in your hands for half the hire — and it was lost by mishap in his hand — he is liable for all mishaps, as at the beginning, for he is not released from guarding it by mere speech (Mordechai, chapter "One who wounds").

נשתתפו בשאר מטלטלין כיון שקנאו מידם שיביא זה חביתו של יין וזה כדו של דבש והרי נשתתפו בהם נעשו שותפין בהם וכן אם ערבו פירותיהם או ששכרו מקום בשותפות והניח זה כדו וזה חביתו שנשתתפו בהם הרי אלו שותפין בהם כללו של דבר בכל הדרכים שקונה הלוקח באותן הדרכים עצמם קונין השותפין זה מזה הממון המוטל ביניהם להשתתף בו:
If they became partners in other movables: once they made a kinyan from them that this one would bring his barrel of wine and that one his jar of honey, and behold they became partners in them — they have become partners in them. And likewise, if they mixed their produce, or rented a place in partnership and this one put down his jar and that one his barrel, in which they became partners — these are partners in them. The rule of the matter: by all the ways by which the buyer acquires, by those very ways the partners acquire from one another the property placed between them to be partners in.

האומנים שנשתתפו באומנות אע"פ שקנו מידם אינם שותפים כיצד שני חייטין או שני אורגים שהתנו ביניהם שכל שיקח זה וזה במלאכתו יהיה ביניהם בשוה אין כאן שותפות כלל שאין אדם מקנה דבר שלא בא לעולם: הגה וי"א דיכולין להקנות זה לזה אפי' בדבר שלא בא לעולם (טור בשם הראב"ד והרא"ש ותשו' רשב"א אלף נ"ז וב"י בשם עיטור) וי"א דאפי' קנין אינם צריכין אלא כל מה שמתנים זה עם זה מתקיים אפי' באמירה בעלמא ואינן יכולין לחזור בהן כל זמן השותפות שהתנו (מרדכי פרק הגוזל בתרא והגהות מיימוני פ"ג דשלוחין ופ"י דגזילה וב"י בשם הר"ן) ויש חולקין ואומרים שיכולין לחזור בהן לענין מה שירויחו אח"כ אבל לא לענין מה שהרויחו כבר ואין נאמנין לומר שכבר חזרו בהן (נ"י פ"ק דב"ב וריב"ש סי' תע"ו בשם הרמב"ן והרשב"א) וכל זה בשנים שנשתתפו זה עם זה ועוסקין שניהם בשותפות וכל אחד יתן לחבירו מה שירויח ולכן גמרו ומקני אהדדי אבל מי שנותן לחבירו מחצית שכר עיסקא ומתנה שיתן לו כל הרווחים שיגיעו לו אפי' ממקומות אחרים אינו אלא כמתנה בעלמא ואינו נקנה אלא בקנין גמור (מרדכי פ' השואל והג"א פרק האומנין) אבל אם היו לוקחים (החייטים) הבגדים עצמם ותופרין אותם ומוכרין (או) לוקחים (האורגים) השתי והערב ממעותיהם ואורגים ומוכרים ונשתתפו במעות שלוקחין בו הרי אלו שותפים וכל מה שירויחו בשכר מלאכתן ומשאם ומתנם הרי אלו לאמצע:
Craftsmen who became partners in a craft, even though a kinyan was made from them, are not partners. How so? Two tailors or two weavers who stipulated between them that whatever this one and that one takes for his work shall be between them equally — there is no partnership here at all, for a man cannot transfer a thing that has not come into the world. Hagah [Rema]: And some say that they can transfer to one another even a thing that has not come into the world (Tur in the name of the Raavad and the Rosh, and a responsum of the Rashba, siman 1057, and Beit Yosef in the name of the Ittur). And some say that they do not even need a kinyan, but whatever they stipulate with one another is established even by mere speech, and they cannot retract so long as the partnership that they stipulated lasts (Mordechai, chapter "One who robs, the latter", and Hagahot Maimoni, chapter 3 of the Laws of Agents and chapter 10 of the Laws of Robbery, and Beit Yosef in the name of the Ran). And some disagree and say that they can retract as to what they will earn afterwards, but not as to what they have already earned; and they are not believed to say that they have already retracted (Nimukei Yosef, the first chapter of Bava Batra, and Rivash, siman 476, in the name of the Ramban and the Rashba). And all this with two who became partners with one another and both of them deal in the partnership, and each will give his fellow what he earns, and therefore they resolve and transfer to one another. But one who gives his fellow an iska (a venture in which the investor shares the gain and the loss) for half the hire, and stipulates that he give him all the gains that come to him, even from other places — it is only like a mere gift, and it is acquired only by a complete kinyan (Mordechai, chapter "One who borrows", and Hagahot Asheri, chapter "The craftsmen"). But if (the tailors) bought the garments themselves and sewed them and sold them, (or) (the weavers) bought the warp and the woof with their money and wove and sold, and they became partners in the money with which they buy — these are partners, and all that they earn by the hire of their work and by their dealings goes to the common stock.
